1-0-0 NAME

The name of the party shall be known as:

1-0-1 NAME (Ammendment - March 19/2004)

The Assembly of Conservative-Based Nations (ACN)
The name shall be known to include Definition 2-0-0-a.



2-0-0 DEFINITIONS

a. The "ACN"; "UDA" "U.D.A"; "The United Democratic Alliance Party of 10000 Islands "; "United Democratic Alliance"; "Democratic Alliance"; "United Alliance"; "The Alliance"; "The Assembly of Conservative-Based Nations"; "A.C.N."; "the party"; are known as the official shortform of the official party name;

b. “AIP” is the Agreement in Principle on the establishment of the The United Democratic Alliance Party of the 10000 Islands Region signed by the Leaders of the The Democratic Alliance Party and The United Conservative Alliance Party of 10000 Islands;


c. "Annual General Meeting" or “AGM” is the official meeting of the Leader, Deputy Leader, Council and Members of the UDA.
At the AGM, the Members will elect Members to serve for a term of 3 Months as either the Leader, Deputy Leader and Council.
Members may be nominated prior to the AGM by the Council, Deputy Leader or Leader. Or be nominated on the floor at the AGM.
The AGM must be held at least once every term (3 months) and may be held within a weeks notice by the Council. to the membering states;

d. "Council" or "the Council" is the collective members of Aldeers, Deputy Leader and Leader selected by the AGM to manage the affairs of the UDA, subject always to the direction and provisions set out in this Constitution. The Council will allow both founding membering states of the AIP, known as Founder(s) to automatically sit upon each Council, with full rights of an Aldeer until the respective Founder sees fit;

e. "Candidate(s)" is the person(s) selected by the Members of the UDA as the UDA Candidate(s) for election to the 10000 Islands Senate and/or United Nations Delegate;

f. "Aldeer" is any member of the "Council" who is elected by the AGM;

g. "Executive Committee" is the committee by that name established under "Article 8 - Officers and Executive Committee";

h. "Nomination Papers" are those documents that the UDA deems necessary to be filed by a member of the UDA prior to that member becoming a declared Nomination Contestant for the Council, Deputy Leader, Leader, United Nations Delegate and Senate;

i. “Nomination Contestant” is an individual that has been approved by the Party to compete for the position of candidate;

j. "Member" is a Member of The United Democratic Alliance Party of 10000 Islands;

k. "Officer" is a Member holding the position of Leader, Deputy Leader, Founders;

l. “Interim Council” or “IC” is the body responsible for the implementation of the Agreement in Principle. Held by the Founders and up to two (2) Additional members.

m. "Returning Officer" is an individual approved by the UDA Council to oversee the election process at a meeting of the AGM called for that purpose and in accordance with the provisions of this constitution or other direction as may be provided by the UDA.

n. "Tri-Chancellory" is the Leader of the UDA and Founder(s)

r. "Founder(s)" is the past leaders of the AIP.



3-0-0 OBJECTIVES

The Objectives of the Association are:

a. to support and promote the principles, objectives and policies of the UDA, and to maintain an effective Party for that purpose;

b. to select a candidate to represent the UDA in the Region for each Senate and/or Delegate election upon the approval of the Council;
to encourage the participation and recruitment of members;

c. to assist and promote the election of the Candidate of the UDA in the Region for each Senate and/or Delegate approved by the Council;

d. giving membering 10000 Islands Region members a choice ;

e. to actively help smaller and new nations to get their soverign states views heard within the organization and region of UDA and 10000 Islands;

f. allow members to be in a united membership, allowing voting proceedure of a collective assembly and also an open assembly vote as ordered by the Leader of the UDA;

g. to recruit members to carry out the objectives of the UDA in the Region; and,

h. to comply with the obligations, and benefit from the rights and privileges of being a membering state in the Region part of the The United Democratic Alliance Party of 10000 Islands and;

i. to uphold the consitituion of the 10000 Islands Region and the UDA Constituion as set forth by the respective members of each constitution.

4-0-0 MEMBERSHIP

a. Members of the The United Democratic Alliance Party of 10000 Islands shall be organized according to a representative appointed by the Council for the listing. Members temporarily residing outside of the 10000 Islands Region of Nation States shall be assigned to report once every week to the appointed member of the Council to determine the membering states return to the 10000 Islands Region.

b. To become a member of the The United Democratic Alliance Party of 10000 Islands a person must:

i. be a member of the 10000 Islands Region or have been approved by the Council;

ii. actively support the principles and policies of the UDA;

iii. have their state's name on the UDA official membership listing maintained by the appointed member of the Council.

The Founder(s) is/are the official defaulting nation for membership listing.

iv. a member may not have a "puppet" nation within the region/NS World to join the UDA, since the Member is already an member and has one vote.

c. The appointed representative by the Council shall be responsible for forwarding membership forms and remittances to UDA Council and Founders on a timely basis.

d. The appointed represenative of membership shall obtain the official membership list from the UDA Council and or Founder(s) in advance of any date required for eligibility purposes.



5-0-0 VOTING

Only Members may vote on matters coming before an AGM and/or open votes dispurst by either the Council or Executive Committee.

Motions require a majority vote of persons present and voting to pass.

The Leader, or a designated chair of AGM or Council meetings, shall not vote except when that vote is required to break a tie.

Only those who have been Members for at forty-eight (48) hours immediately prior to the date of voting shall be entitled to vote on the election of Aldeers or represnatives for positions outside the Council, (including U.N. Delegate and Regional Senators.)

Only Members of the UDA in good standing shall be qualified to stand for election for the Council or Candidates.

Proxy voting within the UDA is permitted only with the permission of a member of the Executive Committee or Founder(s).



6-0-0 MEETINGS

Meetings of the UDA Council shall be convened by the Leader and or Founders as required.

The Interim Council (IC) may call a meeting of the Council(s) with notice consistent with this Constitution.

Notice of all meetings shall state the matters to be dealt with at the meetings.

The Council shall conduct at least one (1) meeting from the last Annual General Meeting, and hold an Annual General Meeting at which the following business shall be conducted:

i. report by the Council;
ii. presentation of Leader, Deputy Leader reports;
iii. election of Aldeers in the Council;
iv. other business as required.

The Executive Committee may formulate procedures to be followed at Council meetings providing they do not conflict with this constitution.



7-0-0 COUNCIL

The affairs of the Council shall, subject to the provisions of this Constitution and direction from the Members, be managed and directed by Aldeers of the Council.
Aldeers, excluding the Founder(s), shall be elected at the Annual General Meeting from the Members.

i. elections for the Council may not proceed without the opportunity for nominations from the floor; and

ii. each nominee must have the opportunity to speak with the Chair of the meeting being responsible for the allotted time frame.

c. The Council shall be comprised of:
i. the Leader, Deputy Leader and Aldeers;
ii. the Founder(s) from the AIP;
iii. the UDA elected member to the Regional (10000 Islands) Council. If there is no elected member to the Regional (10000 Islands) Council, the UDA Council shall include, if exists, the Candidate(s) to the Regional (10000 Islands) Council for election readinessand, this inclusion may stand until the next Nomination Meeting at the discretion of the Council; and

iv. the UDA elected member to the Regional (10000 Islands) U.N. Delegacy Office. If there is no elected member to the Regional (10000 Islands) U.N. Delegacy Office, the UDA Council shall include, if exists, the Candidate(s) to the Regional (10000 Islands) U.N. Delegacy Office for election readinessand, this inclusion may stand until the next Nomination Meeting at the discretion of the Council;

d. The total number of elected Council, excluding the Executive Committee, shall not exceed three (3).

e. The term of office of the Council is until elections have occurred at the next Association AGM.

f. If a Aldeer ceases to hold office, the Council may appoint a replacement Aldeer from the Membership, upon approval from the Tri-Chancellory.

g. An Aldeer appointed by the UDA Council may be removed from office at a meeting called for that purpose on approval by not less than two-thirds (2/3) of the membership of the Council, present and voting or removed by the unanimous consent of the Tri-Chancellory.

h. The Council may remove an Aldeer, excluding a Founder, who has missed four (4) consecutive regularly scheduled Council meetings without reasonable explanation.

i. Meetings of the Council shall be promptly called by the Deputy Leader at the direction of the Tri-Chancellory or at the written request for a meeting, signed by at least two (2) Aldeers send to a member of the Tri-Chancellory.

j. The Council shall appoint such committees as are required for the efficient operation of the UDA.

k. A quorum of the Council is forty (40) percent of the Council Aldeers.

8-0-0 OFFICERS AND EXECUTIVE COMMITTEE

a. The day to day affairs of the UDA shall, subject to the provisions of the UDA Constitution and the direction from the Council, be managed and directed by an Executive Committee, which shall be comprised of the Leader, Deputy Leader, and Founder(s) and not more than one (1) additional member of the Council, upon approval by the Council and Tri-Chancellory

b. The Officers of the UDA shall be elected AGM 3 Month Term by the Council from within their numbers. The election shall take place within forty-eight (48) hours of the Annual General Meeting.

c. Until the successful election of the Officers, the Founder(s) and incumbant Leader, shall be responsible for the observation of UDA Consitution and act as Leaders of the UDA until officially determined.

d. The Officers of the UDA shall be:
a Leader who shall preside at all meetings of the UDA Council, the Executive Committee and who shall be an ex-officio member of all committees except the Tri-Chancellory and of the Founder(s) upon the rules of the Constitution;
a Deputy Leader who shall have such duties as the Council or the Leader shall assign and shall assume and perform the duties of the Leader in the absence or incapacity of the Leader. Also will act as a secretary who shall have custody of all official Council records, documents and all regulations of the UDA Council, other than documents upon the Tri-Chancellory, and who shall prepare and maintain minutes of meetings of the Council, of the membering Aldeers and Founders and of the Executive Committee and call meetings upon the direction of the Tri-Chancellory, and perform other secretarial duties as the Council may direct. The Deputy Leader shall, if required, also act as the Chief Executive Officer (CEO) of the UDA for the purpose of reporting to the Tri-Chancellory;
additional Executive Committee member (max 1) will normally be those Council member with very specific responsibilities such as Election Readiness Chair, Membership Chair, Fundraising Chair, etc.

e. An Officer of the Council may be removed from that position at a meeting of the Council called for that purpose on approval of two-thirds (2/3) of the full membership of the Council, excluding the Founder(s).

f. Upon ceasing to hold office, Officers shall promptly deliver to their successors or to the Leader or Deputy Leader of the UDA, all records, materials and property in their possession, which belong to the UDA.

g. If an Officer ceases to hold office, the Council may appoint an Aldeer to fill the position for the uncompleted term. Excluding the Founder(s).

h. The Executive Committee shall meet at the call of the Leader or Founder(s) or upon written request to the Deputy Leader of a majority of the Executive Committee members.

i. A quorum of the Executive Committee is a majority of its members.

j. Meetings of the Executive Committee shall be held by either forum, message board, or a Messaging System as set forth by the Leader or Founder(s).



9-0-0 UDA MANAGEMENT

The UDA Council shall, under the leadership of the Council Officers and in co-ordination with UDA requirements, carry out such actions as needed to meet the UDA Objectives as detailed at Item 3 of this document;

The Leader shall act as the UDA Party Leader with fully rights upheld by this constitution;

The Founder(s) shall have the same exclusive rights of the Leader of the UDA Party Leader, however the Founder(s) may not object the democratic rights of members and Council civic rights;

If the Founder(s) disagree upon their Rights on the Executive Committee or Tri-Chancellory, then the Leader of the UDA with Council's approval may determine the outcome under protocol rights as set forth by the Council and as the Leader of the Party;

The UDA's Party may be represented by the Leader, an appointed member of the Council by the Council and Tri-Chancellory, and/or Founder(s) but;

not limited to "In-Camera Council" proceedures, or items of sensitive nature and/or determined prior by the Leader where as the Leader will represent the party of the UDA;



10-0-0 CANDIDATE SELECTION

The Council shall appoint a Candidate Nomination Committee for the purpose of recruiting potential Nomination Contestants.

Prior to appointment, individual Committee members must agree to maintain neutrality with respect to the nomination process and all potential Nomination Contestants and to agree to seek nomination themselves if necessary.

Any member of the Council after filing nomination papers to seek the nomination as a Candidate in an upcoming Regional (10000 Islands) Senate or U.N. Delegacy Office shall take a leave of absence as an Aldeer and may only resume Council duties when they are no longer a contender for the Candidate Selection or the election, as the case may be or with the unanimous consent of the Executive Committee.
All approved Nomination Contestants shall be invited to attend meetings of the Council.

The UDA will provide rules and procedures for recruiting, selecting and training of candidates. Nomination Contestant must receive the support of at least 50% plus one (1) of the eligible members voting at the Candidate Nomination Meeting and receive the same for the Council. Multiple Candidates may be acceptable upon the approval of the Candidate Nomination Meeting.

A person seeking nomination as a Candidate shall present to the Candidate Nomination Committee all documentation as required by the UDA and agree to background checks (of past posts on UDA Forum, NS Forum or 10000 Islands Forums.)

In the event of an unanticipated election of either to the Regional (10000 Islands) Senate or the U.N. Delegacy, the Interim Council will advise UDA of changes to Candidate recruitment and selection timelines.

Nomination contests of the UDA will be reported on all forums associtated with the UDA.



12-0-0 NOTICES

Notice of all full membership meetings of the UDA (including notice of dates, times, locations and items to be dealt with thereat) shall be given by UDA Tri-Chancellory and/or under the direction of the Executive Committee to the Members of the UDA by either of the following methods:

i. emailing, Forum Messaging, Messaging System;
Notice of Meetings of the UDA shall be given to all Members postmarked not fewer than twelve (12) hours and not more than seven (7) days prior to the day on which any such meeting is to be held. The IC may change these time line requirements in extenuating circumstances providing there is reasonable confidence that the members can access the notice information before the meeting date.

Notice of Meetings of the UDA shall be provided to UDA HQ so that Official Membership Lists can be prepared and provided to the UDA in advance of meeting dates.



13-0-0 REPORTING

Copies of the following shall be provided to UDA HQ by each Council meeting within five (5) hours of the holding of an Annual General Meeting:

i. the names of the Officers with their respective communicational system;

ii. the minutes of the Annual General Meeting;




14-0-0 AMENDMENTS

a. This document will remain in effect until the first Convention of the UDA.



15-0-0 DUTY TO UPHOLD

It shall be the duty of the Aldeers and Founder(s) to uphold and enforce the provisions of this Constitution.



17-0-0 REGULATIONS AND BYLAWS

The UDA may pass regulations and bylaws with respect to the operation of the party so as to not conflict with this Constitution or decisions of the IC. Copies of such regulations and bylaws must be kept by the Deputy Leader in the UDA files and copies thereof shall be sent to UDA HQ.

The UDA shall adopt rules of order. In a failure to adopt rules of order, the Council shall follow Robert’s Rules of Order.



18-0-0 LIABILITY

When acting within the scope of their authority, no Aldeer of the Council shall be liable for any debts, actions, claims, demands, liabilities or commitments or attack on state of any kind made by the UDA Party. The UDA Party as well shall respectifully comply with the rules of the regional constitution under any non-discirimnational acts towards the collective members of the UDA. The UDA shall indemnify and hold harmless each such Aldeer, against any such debt, action, claim, demand, liability or commitment or attack on state.



19-0-0 Interpretation

The Interim Council shall be the final authority in all matters that require interpretation in this document.
